Terms & Conditions

Effective Date:
October 1, 2026
Last Updated:
September 30, 2026

These Terms & Conditions (“Terms”) govern your access to and use of https://alexantiques.com and any related websites, forms, communications, inquiry services, messaging services, administrative features, and other online services operated by ALEXANDER’S ANTIQUES, doing business as Alexander’s Antiques (“Alexander’s Antiques,” “we,” “us,” or “our”).

Please read these Terms carefully before using the website.

By accessing or using the website, submitting an inquiry or offer, requesting a verification code, uploading information or materials, or otherwise using our services, you acknowledge that you have read and agree to these Terms to the extent permitted by applicable law.

Where we provide a separate checkbox, button, electronic acknowledgment, signature, or other affirmative acceptance mechanism, your selection constitutes your electronic agreement to the terms associated with that mechanism.

If you do not agree with these Terms, please do not use the website or the applicable service.

1. ABOUT ALEXANDER’S ANTIQUES

Alexander’s Antiques provides information concerning antiques, decorative objects, collectibles, furniture, jewelry, tableware, works of art, and other collectible, vintage, historical, or decorative objects that may be available for inquiry or purchase.

Our website currently functions primarily as an online catalog and inquiry platform.

Unless expressly stated otherwise, the website does not currently provide a complete online checkout or payment process.

Submitting an inquiry, requesting information, making an offer, or otherwise communicating through the website does not by itself complete a purchase or create a binding sales contract.

2. ELIGIBILITY

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to enter into a legally binding purchase agreement with Alexander’s Antiques.

If you act on behalf of a corporation, company, trust, estate, partnership, or other legal entity, you represent and warrant that you have authority to act for and bind that entity.

3. WEBSITE LISTINGS AND PRODUCT INFORMATION

We make reasonable efforts to provide accurate and useful information concerning objects displayed on the website.

However, antiques, vintage items, and collectible objects may have complex histories, alterations, restorations, repairs, replacements, wear, patina, variations, previous ownership, or characteristics that may not be apparent from photographs or descriptions.

Listings may include information concerning:

  • Artist or maker
  • Manufacturer
  • Period
  • Approximate date
  • Country or place of origin
  • Style
  • Materials
  • Dimensions
  • Condition
  • Attribution
  • Provenance
  • Literature
  • Exhibition history
  • Restoration history
  • Ownership history
  • Other descriptive characteristics

Unless expressly guaranteed in final written transaction documentation, such information may constitute our good-faith research, professional judgment, opinion, reasonable belief, or information obtained from third-party sources.

Descriptions may be corrected or updated if additional information becomes available.

Nothing in these Terms permits Alexander’s Antiques to knowingly make false, fraudulent, or materially misleading representations.

4. PHOTOGRAPHS, COLORS, DIMENSIONS, AND CONDITION

Photographs are intended to assist prospective purchasers but are not a substitute for physical inspection or a detailed condition report.

Photographs may not reveal every:

  • Scratch
  • Crack
  • Chip
  • Repair
  • Restoration
  • Stain
  • Loss
  • Surface variation
  • Color variation
  • Structural condition
  • Wear pattern
  • Replacement
  • Imperfection
  • Characteristic resulting from age or use

The appearance of colors may vary depending upon photography, lighting, image processing, screens, devices, browser settings, and display calibration.

Measurements and dimensions are generally approximate unless expressly identified otherwise.

The absence of a reference to a particular condition issue does not necessarily mean that the issue does not exist.

Prospective purchasers are encouraged to request additional photographs, measurements, condition information, or inspection before completing a purchase.

5. ANTIQUE AND VINTAGE NATURE OF OBJECTS

Many objects offered by Alexander’s Antiques are antique, vintage, collectible, previously owned, handmade, restored, repaired, altered, or unique.

Normal wear, aging, patina, historical repairs, replacement elements, manufacturing variations, and evidence of previous use may form part of the character, history, and value of an object and are not necessarily considered defects.

Prospective purchasers should evaluate objects according to their age, materials, condition, historical character, and intended use.

6. ELECTRICAL, MECHANICAL, LIGHTING, AND FUNCTIONAL OBJECTS

Antique or vintage objects containing electrical, mechanical, plumbing, gas, lighting, clockwork, or other functional components should be inspected by an appropriately qualified professional before installation or use.

Unless expressly confirmed in writing:

  • Electrical components may not have been tested to current safety standards.
  • Wiring may require replacement.
  • Fixtures may require modification or adaptation.
  • Mechanical components may require servicing.
  • Older objects may not comply with current electrical, building, safety, or other regulatory standards.
  • Installation may require an appropriately licensed professional.

The purchaser is responsible for ensuring that installation and use comply with applicable laws and safety requirements, subject to any obligations that applicable law does not permit Alexander’s Antiques to disclaim.

7. INQUIRIES

The website allows users to inquire about particular objects.

Submitting an inquiry does not constitute:

  • A purchase
  • A reservation
  • Acceptance of an offer
  • A guarantee of availability
  • A binding commitment by either party
  • A completed sales contract

Objects may remain available to other potential purchasers until Alexander’s Antiques expressly confirms a transaction.

8. MAKE AN OFFER

Where the website provides a “Make an Offer” or proposed-price feature, submitting a proposed price constitutes a request for Alexander’s Antiques to consider the proposal.

Submitting an offer does not automatically:

  • Reserve the object
  • Require Alexander’s Antiques to accept the offer
  • Require Alexander’s Antiques to negotiate
  • Prevent another sale
  • Create a binding contract

Alexander’s Antiques may accept, reject, counter, or decline to respond to an offer.

A transaction becomes binding only when the parties have reached agreement and Alexander’s Antiques has issued or accepted applicable written transaction documentation, such as an invoice, sales agreement, written acceptance, or other confirmation.

9. AVAILABILITY

All objects are subject to prior sale, withdrawal, correction, and continued availability.

Because objects may be offered through multiple sales channels, galleries, marketplaces, direct communications, or other platforms, an object may become unavailable before the website is updated.

Alexander’s Antiques may withdraw an object from availability before a binding sale has been completed.

10. PRICING

Prices displayed on the website, where provided, are stated in the currency shown with the relevant listing.

Unless expressly stated otherwise, displayed prices may exclude:

  • Sales tax
  • Use tax
  • VAT
  • Duties
  • Customs charges
  • Import or export fees
  • Shipping
  • Packing
  • Insurance
  • Installation
  • Storage
  • Brokerage
  • Other transaction-related expenses

The final amount payable will be governed by the applicable invoice or other final transaction documentation.

Alexander’s Antiques may correct typographical, technical, or pricing errors before a binding transaction is completed.

11. TAXES

Purchasers are responsible for taxes, duties, governmental assessments, or similar charges applicable to a transaction, except to the extent applicable law requires Alexander’s Antiques to collect or pay them.

Where legally required, Alexander’s Antiques may collect and remit applicable sales or similar taxes.

A purchaser claiming a tax exemption may be required to provide valid exemption documentation.

12. TRANSACTION-SPECIFIC TERMS

A completed purchase may be subject to additional terms appearing in:

  • An invoice
  • Sales agreement
  • Condition report
  • Shipping agreement
  • Payment request
  • Consignment documentation
  • Written correspondence
  • Other transaction-specific documentation

If valid transaction-specific terms conflict with these general website Terms, the transaction-specific terms will govern that transaction to the extent of the conflict.

Nothing in these Terms eliminates any right that applicable law prohibits the parties from waiving.

13. PAYMENT

Unless online checkout functionality is expressly introduced, payments are arranged separately from the general website catalog.

Customers should send payment only using payment instructions confirmed through an authorized Alexander’s Antiques communication channel.

Because invoice fraud and payment-instruction fraud can occur, customers should independently verify any unexpected change to payment instructions before transferring money.

Alexander’s Antiques will never request a customer’s banking password, one-time banking authentication credential, or similar confidential banking access credential through a general inquiry form.

14. SHIPPING, PACKING, COLLECTION, DELIVERY, AND RISK

Shipping, packing, collection, delivery, insurance, storage, and transfer of risk will be determined by applicable transaction documentation and applicable law.

Antiques and collectible objects may require specialized packing, handling, and transportation.

International transactions may be subject to:

  • Customs requirements
  • Import restrictions
  • Export restrictions
  • Cultural-property laws
  • Wildlife regulations
  • Taxes
  • Duties
  • Brokerage
  • Inspection
  • Licensing requirements
  • Transportation delays
  • Destination-specific restrictions

Alexander’s Antiques will not knowingly ship an object where shipment is prohibited by applicable law.

15. CULTURAL PROPERTY, WILDLIFE MATERIALS, AND RESTRICTED OBJECTS

Certain antique or collectible objects may contain, incorporate, or relate to materials subject to federal, state, international, or foreign legal restrictions, including certain:

  • Ivory
  • Tortoiseshell
  • Coral
  • Exotic skins
  • Feathers
  • Endangered-species materials
  • Cultural property
  • Archaeological materials
  • Other regulated materials

The fact that an object is offered for sale does not necessarily mean that it may lawfully be exported, imported, transported, transferred, or resold in every jurisdiction.

Transactions remain subject to applicable legal and regulatory restrictions.

Alexander’s Antiques may decline or cancel a proposed transaction where reasonably necessary to comply with applicable law.

16. RETURNS, CANCELLATIONS, AND REFUNDS

Return, cancellation, refund, or exchange rights, if any, will be governed by:

  • The applicable transaction documentation
  • Any separately published return policy
  • Applicable law

Because many objects are antique, vintage, collectible, one-of-a-kind, or previously owned, applicable return policies may differ from policies commonly associated with newly manufactured consumer goods.

Nothing in these Terms limits any refund, warranty, cancellation, or consumer right that applicable law does not permit Alexander’s Antiques to waive or restrict.

17. AUTHENTICITY, ATTRIBUTION, AND PROVENANCE

Expressions such as:

  • “Attributed to”
  • “In the manner of”
  • “Style of”
  • “Circle of”
  • “Workshop of”
  • “School of”
  • “After”
  • “Possibly”
  • “Probably”
  • “Believed to be”

and similar terminology may communicate a qualified opinion rather than an unconditional statement concerning authorship, manufacture, origin, period, or attribution.

Where Alexander’s Antiques provides a specific written authenticity guarantee, that guarantee will be governed by the express language of the relevant transaction documentation.

No general website statement should be interpreted more broadly than its reasonable meaning in context.

18. THIRD-PARTY AUTHENTICATION AND INFORMATION

We may refer to information originating from:

  • Scholars
  • Artists
  • Artists’ estates
  • Foundations
  • Manufacturers
  • Catalogues raisonnés
  • Auction houses
  • Prior owners
  • Dealers
  • Laboratories
  • Appraisers
  • Conservators
  • Specialists
  • Other third-party sources

Unless expressly adopted by Alexander’s Antiques as a contractual warranty, third-party opinions remain the opinions of the respective third parties.

19. USER-SUBMITTED CONTENT

Users may be permitted to submit photographs, documents, descriptions, messages, or other materials in connection with an inquiry or request.

You retain ownership of materials you lawfully own.

By submitting materials, you grant Alexander’s Antiques a non-exclusive, worldwide, royalty-free license to host, store, copy, process, reproduce, and internally distribute those materials solely as reasonably necessary to:

  • Evaluate and respond to your inquiry
  • Communicate with you
  • Obtain specialist or professional input where reasonably necessary
  • Maintain appropriate business records
  • Prevent or investigate fraud
  • Resolve disputes
  • Provide the service you requested

This license does not authorize Alexander’s Antiques to independently sell your submitted content as standalone commercial content.

You represent that you have sufficient rights and authority to provide the submitted materials.

20. PROHIBITED SUBMISSIONS

Users may not knowingly upload or transmit:

  • Malware
  • Viruses
  • Malicious code
  • Fraudulent information
  • Unlawful material
  • Stolen credentials
  • Content infringing third-party intellectual-property rights
  • Material intended to facilitate unlawful conduct
  • Personal information concerning another person where the user lacks lawful authority to provide it

Users should not submit unnecessary highly sensitive information such as passwords, full payment-card numbers, Social Security numbers, banking credentials, or medical records.

21. ACCEPTABLE USE

You agree not to:

  • Attempt unauthorized access to the website, servers, database, administrative portal, or accounts
  • Circumvent security or access controls
  • Probe or exploit security vulnerabilities without authorization
  • Introduce malicious code
  • Interfere with website availability or operation
  • Abuse OTP or SMS functionality
  • Generate artificial messaging traffic
  • Submit fraudulent or deceptive inquiries
  • Impersonate another person
  • Scrape or systematically extract website content in violation of applicable law or express technical restrictions
  • Commercially reproduce substantial portions of our catalog without authorization
  • Harass users, customers, employees, or third parties
  • Manipulate pricing or availability through fraudulent activity
  • Use the website for illegal purposes

Alexander’s Antiques may use security controls, authentication controls, bot detection, rate limiting, monitoring, and other safeguards to protect its systems and users.

22. INTELLECTUAL PROPERTY

Unless otherwise stated, the website and original materials appearing on it, including its:

  • Design
  • Layout
  • Branding
  • Logos
  • Original text
  • Graphics
  • Catalog organization
  • Software
  • Code
  • Photographs owned or licensed by Alexander’s Antiques
  • Product descriptions authored by Alexander’s Antiques
  • Other original materials

are owned by or licensed to Alexander’s Antiques and are protected by applicable copyright, trademark, and other intellectual-property laws.

Access to the website does not transfer ownership of any intellectual-property right.

23. LIMITED WEBSITE LICENSE

Alexander’s Antiques grants users a limited, revocable, non-exclusive, non-transferable right to access and use the website for legitimate personal or business purposes related to evaluating, purchasing, or inquiring about objects offered by Alexander’s Antiques.

Except where applicable law expressly permits otherwise, users may not reproduce, republish, commercially exploit, systematically extract, or create a substantially copied commercial catalog from our website content without authorization.

24. COPYRIGHT CONCERNS

If you reasonably believe that content appearing on our website infringes intellectual-property rights you own or are authorized to enforce, please contact:

alex@alexantiques.com

Your communication should identify:

  • The relevant protected work
  • The allegedly infringing material
  • Your contact information
  • The basis of your claim
  • Supporting information reasonably necessary for us to evaluate the request

Alexander’s Antiques reserves all rights and defenses available under applicable law.

25. THIRD-PARTY WEBSITES AND MARKETPLACES

Our website may contain links to third-party marketplaces, social networks, mapping services, shipping providers, payment providers, publications, or other independent services.

Those services are independently operated and are subject to their own terms, privacy policies, and security practices.

Unless expressly stated otherwise, Alexander’s Antiques does not control and is not responsible for the content, security, availability, terms, or privacy practices of independent third-party websites.

26. EMAIL COMMUNICATIONS

If you contact Alexander’s Antiques or submit an inquiry, we may send communications reasonably related to that interaction, including responses and transactional updates.

If you separately subscribe to newsletters or promotional communications, we may send such communications in accordance with your preferences and applicable law.

Marketing emails will include an appropriate method to unsubscribe where required.

Unsubscribing from marketing emails does not necessarily prevent communications necessary to respond to an existing inquiry, complete a transaction, address security issues, or otherwise provide a service you requested.

27. ALEXANDER’S ANTIQUES SMS PROGRAM

Alexander’s Antiques may provide SMS functionality under the program name:

Alexander’s Antiques SMS

Depending upon the service requested and consent provided, messages may include:

  • One-time verification codes
  • Authentication messages
  • Security-related notifications
  • Account notifications
  • Notifications about replies to a specific customer inquiry
  • Operational notifications
  • New-inquiry notifications sent to individually opted-in authorized staff

Requesting an OTP or verification code does not constitute consent to receive unrelated promotional SMS messages.

28. OTP AND VERIFICATION MESSAGES

When a user voluntarily enters a mobile telephone number and requests telephone verification, the user authorizes Alexander’s Antiques to send the message or messages reasonably necessary to complete that requested verification.

A verification code:

  • Is intended only for the person requesting verification
  • May expire after a limited period
  • May be subject to request limits
  • May be subject to attempt limits
  • Should not be disclosed to another person

Requesting a verification code does not automatically enroll the user in recurring account, inquiry, staff, promotional, or other SMS notifications.

29. ADMINISTRATIVE SMS NOTIFICATIONS

Authorized Alexander’s Antiques administrators may separately choose to receive recurring operational SMS notifications.

Such messages may include notifications regarding:

  • New customer inquiries
  • Offers
  • Contact requests
  • Account activity
  • Security activity
  • Other operational events associated with the administrator’s duties or account

Administrative SMS enrollment occurs through the applicable notification setting or another authorized opt-in mechanism.

Message frequency varies depending upon website and account activity.

29A. CUSTOMER INQUIRY SMS NOTIFICATIONS

A collector may separately choose SMS updates for one specific inquiry. That choice applies only to future notifications about that inquiry and the exact verified mobile number shown with the consent disclosure.

Inquiry SMS is optional and additional to the Customer Portal and email. An account-notification preference or consent for another inquiry does not authorize inquiry-reply SMS.

Changing a verified mobile number does not transfer an earlier inquiry grant to the new number.

30. SMS CONSENT

Where consent is required, SMS consent is obtained separately from consent for email communications, telephone calls, general website use, or acceptance of these Terms.

Acceptance of these Terms alone does not constitute consent to receive optional recurring SMS messages.

Where an SMS opt-in checkbox is presented:

  • The checkbox is intended specifically for SMS consent.
  • It should not be pre-selected.
  • Enrollment is voluntary except where a user expressly requests a one-time SMS-dependent service.
  • Consent is not a condition of purchasing an antique or other product.

Users should provide only telephone numbers they are authorized to use.

31. SMS MESSAGE FREQUENCY

Message frequency may vary.

One-time verification messages are generated in response to a user’s request.

Recurring administrative or account messages may depend upon account activity, customer inquiries, offers, security events, or other operational events.

32. SMS CHARGES

Message and data rates may apply.

Your mobile carrier may impose messaging, data, roaming, or other charges.

Alexander’s Antiques does not determine or control charges imposed by your telecommunications provider.

33. SMS OPT-OUT

Recipients of applicable recurring SMS communications may opt out by replying:

STOP

We may also process other clear and reasonable requests to revoke SMS consent as required by applicable law.

After an opt-out request is processed, Alexander’s Antiques or its messaging provider may send one final confirmation message stating that the opt-out has been completed.

No further messages covered by that opt-out will be sent unless the recipient subsequently provides new valid consent or another lawful basis permits the communication.

34. SMS HELP

For assistance with Alexander’s Antiques SMS, reply:

HELP

You may also contact:

35. SMS DELIVERY

SMS delivery depends upon telecommunications networks, mobile carriers, messaging providers, recipient devices, service availability, and other systems outside Alexander’s Antiques’ direct control.

Messages may be delayed, filtered, rejected, or undelivered.

Delivery is therefore not guaranteed.

Carriers are not liable for delayed or undelivered messages.

SMS should not be relied upon as the sole communication method for emergencies or other matters requiring immediate action.

36. CHANGED OR REASSIGNED MOBILE NUMBERS

You are responsible for providing a telephone number that you are authorized to use.

If you change, transfer, surrender, disconnect, or cease using a telephone number enrolled in recurring SMS notifications, you should update your account or opt out before relinquishing the number.

Alexander’s Antiques may suspend messaging to telephone numbers reasonably believed to be invalid, reassigned, unreachable, or associated with abuse.

37. SMS PRIVACY

SMS information is handled in accordance with our Privacy Policy.

Mobile information and SMS opt-in data or consent will not be sold, rented, or shared with third parties or affiliates for their independent promotional or marketing purposes.

We may disclose limited mobile information, SMS opt-in information, or consent status to vendors and service providers solely as reasonably necessary to provide the messaging service, including:

  • Messaging platform providers
  • Telecommunications providers
  • Mobile network operators
  • Infrastructure providers
  • Security providers
  • Vendors assisting in the transmission and delivery of SMS messages

Such disclosure does not authorize those parties to use SMS consent for their own independent marketing purposes.

Our Privacy Policy is available at:

https://alexantiques.com/privacy-policy

38. NO EMERGENCY SMS SERVICE

Alexander’s Antiques SMS is not an emergency notification service.

Do not use our SMS service to request police, fire, emergency medical, rescue, or other emergency assistance.

39. SECURITY AND ABUSE PREVENTION

We may use security measures relating to:

  • OTP generation
  • Verification attempts
  • IP addresses
  • Device activity
  • Rate limits
  • Fraud indicators
  • Automated activity
  • Messaging traffic
  • Suspicious behavior

We may temporarily or permanently restrict messaging or verification functionality where reasonably necessary to protect customers, telecommunications networks, our systems, our service providers, or third parties.

40. ADMINISTRATIVE PORTAL

Administrative features are restricted to authorized users.

Administrative credentials must be kept confidential and may not be shared except through approved access-management mechanisms.

Administrators are responsible for promptly reporting suspected unauthorized access.

Alexander’s Antiques may maintain administrative logs for security, operational, audit, compliance, and troubleshooting purposes.

41. PRIVACY POLICY

Use of the website is also governed by the Alexander’s Antiques Privacy Policy:

https://alexantiques.com/privacy-policy

The Privacy Policy describes how personal information may be collected, used, disclosed, retained, and protected.

Acceptance of these Terms does not override a separate consent requirement established by applicable law or our Privacy Policy.

42. WEBSITE SECURITY

Alexander’s Antiques uses reasonable administrative, technical, and organizational safeguards designed to protect its website and systems.

Nevertheless, no internet service, computer system, cloud service, database, transmission method, or electronic storage system can be guaranteed to be completely secure.

Users should exercise appropriate caution when submitting information electronically.

43. WEBSITE AVAILABILITY

Alexander’s Antiques may:

  • Modify the website
  • Suspend functionality
  • Conduct maintenance
  • Correct errors
  • Introduce new features
  • Remove functionality
  • Restrict access for security purposes
  • Discontinue portions of the website

We do not guarantee uninterrupted or error-free availability of the website.

44. ERRORS AND CORRECTIONS

The website may occasionally contain:

  • Typographical errors
  • Pricing errors
  • Image errors
  • Technical errors
  • Incorrect availability information
  • Incomplete information
  • Outdated information

Alexander’s Antiques may correct such information when discovered.

To the extent permitted by law, an obvious website error does not obligate Alexander’s Antiques to complete a transaction based on erroneous information where the error is corrected before a binding transaction is completed.

45. DISCLAIMER OF WEBSITE WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE GENERAL WEBSITE AND ITS ONLINE FUNCTIONALITY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

ALEXANDER’S ANTIQUES DISCLAIMS IMPLIED WARRANTIES CONCERNING GENERAL WEBSITE OPERATION TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

THIS PROVISION DOES NOT:

  • DISCLAIM ANY EXPRESS WARRANTY SPECIFICALLY PROVIDED IN FINAL WRITTEN TRANSACTION DOCUMENTATION
  • EXCLUDE LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT US TO EXCLUDE
  • AUTHORIZE FRAUD OR INTENTIONAL MISREPRESENTATION
  • ELIMINATE NON-WAIVABLE CONSUMER RIGHTS

46. NO PROFESSIONAL ADVICE

General website content does not constitute legal, tax, investment, insurance, engineering, electrical, conservation, safety, or other regulated professional advice.

Users should obtain appropriate professional advice where necessary.

47. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALEXANDER’S ANTIQUES AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE GENERAL WEBSITE, INCLUDING LOSS OF DATA, BUSINESS OPPORTUNITY, OR PROFITS, WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

FOR CLAIMS ARISING SOLELY FROM FREE USE OF THE WEBSITE AND NOT FROM THE PURCHASE OF AN OBJECT, THE AGGREGATE LIABILITY OF ALEXANDER’S ANTIQUES WILL NOT EXCEED THE GREATER OF:

(A) $100; OR

(B) THE AMOUNT YOU PAID DIRECTLY TO ALEXANDER’S ANTIQUES FOR THE SPECIFIC ONLINE SERVICE GIVING RISE TO THE CLAIM DURING THE PRECEDING TWELVE MONTHS.

THIS LIMITATION DOES NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW, INCLUDING, WHERE APPLICABLE:

  • Fraud
  • Willful misconduct
  • Gross negligence where liability cannot lawfully be limited
  • Death or personal injury where liability cannot lawfully be excluded
  • Non-waivable statutory rights
  • Express contractual obligations contained in completed transaction documentation

Liability relating to the sale or purchase of a particular object may additionally be governed by transaction-specific documentation.

48. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold Alexander’s Antiques harmless from third-party claims, damages, liabilities, and reasonable expenses arising directly from your:

  • Intentional unlawful use of the website
  • Material breach of these Terms
  • Fraudulent activity
  • Malicious interference with our systems
  • Knowing infringement of another person’s intellectual-property rights
  • Unauthorized submission of another person’s protected information

You are not required by this provision to indemnify Alexander’s Antiques for Alexander’s Antiques’ own unlawful conduct where such indemnification would be prohibited by law.

49. FORCE MAJEURE

To the extent permitted by applicable law, Alexander’s Antiques will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters
  • Fire
  • Flood
  • War
  • Terrorism
  • Civil disturbance
  • Epidemics or pandemics
  • Government action
  • Customs action
  • Transportation disruption
  • Utility failure
  • Internet outage
  • Telecommunications outage
  • Cyberattack
  • Labor disruption
  • Carrier interruption
  • Other comparable events beyond reasonable control

This provision does not excuse obligations that applicable law does not permit Alexander’s Antiques to excuse.

50. SUSPENSION OR TERMINATION OF ACCESS

Alexander’s Antiques may restrict or suspend website access where reasonably necessary because of:

  • Security threats
  • Fraud
  • Abuse
  • Unauthorized access attempts
  • Material violations of these Terms
  • Legal requirements
  • Conduct that threatens our systems, customers, personnel, or third parties

Where appropriate and practical, access may be restored after the relevant issue has been resolved.

51. ELECTRONIC COMMUNICATIONS

When you voluntarily interact with us electronically, you consent to receive records and communications electronically where permitted by applicable law.

Where recognized by law, an electronic acknowledgment, electronic signature, checkbox, or similar affirmative action may have the same legal effect as a handwritten signature.

This provision does not convert general website use or acceptance of these Terms into optional recurring SMS consent.

52. GOVERNING LAW

Except where applicable consumer-protection or other mandatory law requires otherwise, these Terms and disputes arising from general use of the website are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Nothing in this section deprives a consumer of protections that applicable law does not permit the parties to waive.

53. JURISDICTION AND VENUE

Subject to any non-waivable right to bring a claim in another jurisdiction, legal proceedings concerning these Terms shall be brought in a state or federal court of competent jurisdiction located in New York County, New York.

The parties consent to the personal jurisdiction of those courts to the extent permitted by law.

54. NO MANDATORY ARBITRATION OR CLASS-ACTION WAIVER

These Terms do not currently impose mandatory arbitration or a class-action waiver.

Alexander’s Antiques may not add such provisions retroactively to an already completed transaction where doing so would violate applicable law.

If an arbitration provision is introduced in the future, it may be subject to separate notice, acceptance, and legal requirements.

55. INTERNATIONAL USERS

The website may be accessible from locations outside the United States.

Alexander’s Antiques does not represent that every object, transaction, website feature, or service is available or lawful in every jurisdiction.

Users accessing the website internationally are responsible for complying with laws applicable to them, while Alexander’s Antiques remains responsible for obligations imposed upon it by applicable law.

56. ASSIGNMENT

You may not assign contractual rights under these Terms where such assignment would materially alter our obligations without our consent.

Alexander’s Antiques may assign its rights and obligations in connection with a lawful merger, acquisition, corporate reorganization, sale of substantially all relevant assets, or similar transaction, subject to applicable law.

57. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed where appropriate.

The remaining provisions will remain in effect unless applicable law requires otherwise.

58. NO WAIVER

Failure by Alexander’s Antiques to enforce any provision of these Terms on one occasion does not constitute a permanent waiver of that provision or any other right.

Any waiver applies only to the extent expressly given.

59. HEADINGS

Section headings are provided for convenience and do not independently determine the interpretation of these Terms.

60. ENTIRE AGREEMENT REGARDING WEBSITE USE

These Terms, together with the Privacy Policy and any other policy expressly incorporated by reference, govern general use of the website.

Individual transactions may be governed by additional transaction-specific documentation.

Where applicable, such transaction documentation may constitute the controlling agreement for that particular transaction.

61. CHANGES TO THESE TERMS

Alexander’s Antiques may update these Terms where reasonably necessary to reflect:

  • Changes to the website
  • Changes to services
  • New functionality
  • Legal or regulatory developments
  • Security requirements
  • Changes in business practices

The “Last Updated” date will be revised when these Terms are changed.

Where applicable law requires additional notice or consent for a material change, Alexander’s Antiques will provide such notice or obtain such consent.

Changes will not retroactively alter a completed transaction where doing so would violate applicable law or an existing binding agreement.
